1. Acceptance of Terms

By contracting any service from OS2 Soluciones Digitales, the client accepts these terms in their entirety. If you do not agree with any of these terms, you should not contract our services.

2. Service Description

OS2 Soluciones Digitales offers the following technology services:

  • Implementation of artificial intelligence agents on WhatsApp
  • Multiagent CRM system configuration (Chatwoot)
  • Business process automation (n8n, Flowise)
  • Self-hosted digital infrastructure on dedicated servers
  • Training and technical support

3. Use of WhatsApp Business API

OS2 Soluciones Digitales operates as a technology solutions provider using Meta/WhatsApp’s official WhatsApp Business API.

The client is responsible for:

  • Obtaining consent from their end users to receive automated messages
  • Complying with WhatsApp Business usage policies
  • Not using systems for spam or unsolicited messages
  • Not using systems for illegal or fraudulent activities

OS2 Soluciones Digitales is not responsible for misuse of systems by the client.

3.A WhatsApp Business API Compliance

3.A.1 Role Clarification

OS2 Soluciones Digitales is an independent technology provider.

  • It is NOT a representative, agent, partner, or affiliate of Meta Platforms Inc.
  • It does NOT act on behalf of Meta
  • It does NOT have authority to make commitments on behalf of Meta

The Client maintains DIRECT responsibility to Meta for the use of their WhatsApp Business account and compliance with all WhatsApp commercial policies.

3.A.2 Client Responsibilities

The Client is exclusively responsible for:

  • All content sent through the system - OS2 does not review or approve content (except flagrant violations)
  • Obtaining explicit consent from all end users before sending automated messages
  • Complying with WhatsApp Commercial Policies at all times
  • Complying with communication laws in their jurisdiction
  • Maintaining records of end user consent

3.A.3 Absolute Prohibitions

The Client NEVER can use OS2 for:

  • Spam: Bulk sending of unsolicited messages or offers
  • Phishing: Fraudulent attempts to obtain confidential information
  • Fraud: Scams, identity spoofing, deceptions
  • Unsolicited mass marketing: Promotions to numbers obtained without authorization
  • Illegal content: Sale of drugs, weapons, Meta-prohibited products
  • Harassment: Repetitive messages after being rejected or blocked
  • Misinformation: False or misleading information
  • Prohibited product sales: Any product Meta has prohibited on its platform
  • Bulk data collection: Scraping phone numbers or user information
  • Discriminatory, sexual or violent content

3.A.4 Meta’s Rights

Meta Platforms Inc. may:

  • Suspend or cancel WhatsApp Business API access at any time
  • Without need for prior notice
  • For violation of its policies

OS2 is NOT responsible for suspensions originated by Client policy violations.

3.A.5 Audit Rights

Meta has the right to:

  • Audit OS2 infrastructure at any time
  • Access logs and transaction data
  • Investigate abuse reports

The Client accepts that OS2 can fully cooperate with Meta in compliance investigations, including providing data and access.

3.A.6 Indemnification

The Client indemnifies and releases OS2 from any:

  • Penalties, fines, or sanctions imposed by Meta for policy violations
  • Reputational damage caused to OS2 by Client illegal activity
  • Third-party lawsuits originating from Client content
  • OS2 legal costs related to Client non-compliance

3.A.6B Indemnification to Meta Platforms Inc.

The Client acknowledges that Meta Platforms Inc. is a direct third-party beneficiary of the indemnification provisions in this section.

The Client indemnifies, releases and holds harmless Meta Platforms Inc. from any:

  • Violation of Meta’s Commercial Terms & Conditions
  • Suspension of WhatsApp Business API access
  • Reputational damage caused to Meta by Client illegal content
  • Fines or penalties imposed on Meta by regulatory authorities
  • Legal costs of Meta related to Client non-compliance

Meta Platforms Inc. may directly enforce this indemnification without OS2 intervention.

3.A.7 Abuse Reporting

To report violations of WhatsApp Business API policies:

Investigation SLA: 24 business hours

OS2 will investigate and take immediate corrective action upon verified reports.

3.A.8 Immediate Suspension

OS2 reserves the right to suspend service WITHOUT PRIOR NOTICE upon:

  • Verified violation of Meta policies
  • Phishing, fraud, or reported spam
  • Detected illegal activity
  • Client suspension by Meta

In case of suspension due to Client violation, there is NO reimbursement of advance payments.

4. Open Source Software

Implemented systems use open source software under internationally recognized licenses:

  • Chatwoot — MIT License
  • Flowise — Apache 2.0 License
  • n8n — Sustainable Use License
  • Traefik — MIT License

Edilberto Severiche Socore guarantees compliance with all software licenses used. The client receives access to systems but does not acquire ownership of base software.

5. Payments and Billing

  • Services are invoiced in Bolivianos (Bs.)
  • Payment is made by bank transfer or QR
  • Monthly plans renew automatically unless otherwise notified
  • No refunds are made for already-invoiced periods

6. Service Cancellation

The client may cancel service at any time with 15 days’ prior notice. Upon cancellation:

  • All system configuration and client data is delivered to the client
  • Data is deleted from the server within maximum 30 days
  • No additional cancellation charges apply

7. Intellectual Property

  • The client owns their data and conversations
  • OS2 Soluciones Digitales retains ownership of developed configurations and flows, unless expressly agreed otherwise
  • The client receives usage license over implemented systems during contract term

8. Limitation of Liability

OS2 Soluciones Digitales is not responsible for:

  • Service interruptions caused by third parties (Meta, Hetzner, Cloudflare)
  • Data loss caused by force majeure
  • Misuse of systems by client or its employees
  • Indirect damages or lost profits

The maximum liability of OS2 Soluciones Digitales is limited to the amount paid by the client in the last 3 months of service.

9. Confidentiality

OS2 Soluciones Digitales commits to maintaining confidentiality of all client information and not disclosing it to third parties without express authorization, except legal requirement.

10. Applicable Law

These terms are governed by the laws of the Republic of Bolivia. Any dispute will be resolved in the competent courts of Santa Cruz de la Sierra, Bolivia.

11. Modifications

OS2 Soluciones Digitales reserves the right to modify these terms with prior notice of 30 days via email to the client.
